1. Agreement to these terms
These Terms of Service ("Terms") are a binding agreement between you and EzCoder, Inc. ("EzCoder", "we", "us", or "our"), a Delaware corporation with its principal place of business in Texas, United States. They govern your use of the EzCoder platform at ezcoder.dev and related services (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company, you represent that you have authority to bind that company, and "you" means that company.
2. Eligibility and your account
EzCoder is intended for adults. You must be at least 13 years old to use EzCoder. If you are under 18 — or under the age of majority or digital-consent age where you live — you may use the Service only with the permission and involvement of a parent or legal guardian who agrees to these Terms and accepts responsibility for your use and activity. You are responsible for your account credentials and for all activity under your account. Keep your sign-in information secure and notify us promptly of any unauthorized use. Access to the Service may be gated during beta periods, and we may decline or revoke access at our discretion during such periods.
3. Plans, billing, and tokens
Paid features are offered through subscription plans and usage allowances (described at the time of purchase and on our pricing page). By subscribing, you authorize us and our payment processor (Stripe) to charge your payment method on a recurring basis until you cancel. Usage allowances reset each billing cycle as described in your plan; purchased token packages are governed by the terms shown at purchase. You can cancel any time, effective at the end of the current billing period. We may change prices with advance notice; changes apply from your next billing cycle. Except where required by law or expressly stated otherwise, fees are non-refundable.
4. The Service
EzCoder lets you build applications with AI assistance, preview them, deploy them, and operate business features such as customer management, marketing, and analytics. The Service is provided without a guaranteed service level: previews and deployed environments may be paused, recycled, or rate-limited, and features may change as the platform evolves. We will use reasonable efforts to keep the Service available and to give notice of material changes that reduce core functionality.
5. AI-generated output
The Service generates code and content using AI models. AI output may be inaccurate, incomplete, insecure, or unsuitable for your purpose, and it may resemble output generated for others. You are responsible for reviewing, testing, and validating anything you build before relying on it in production, and for ensuring that code or assets you direct the AI to incorporate (including open-source components) are used in compliance with their licenses. AI output is not professional advice.
Output produced by the Service is AI-generated. Where we apply a label, watermark, or machine-readable marking indicating content is AI-generated, you must not remove or alter it, and you are responsible for any disclosure your own use or jurisdiction requires when you publish or distribute AI-generated content.
6. Your content and ownership
You own the projects, code, files, and content you create or upload ("Your Content"), including, as between you and EzCoder, the AI-generated output in your projects. You grant us a worldwide, non-exclusive license to host, store, process, transmit, display, and back up Your Content as needed to provide the Service, including running your previews and deployed sites and processing content through the AI and infrastructure providers listed on our Service Providers page. How we use Your Content to measure and improve the Service, and the opt-in choice that governs any use of it to train AI models, are described in our Privacy Policy. Where we process data on your behalf about your customers and end-users, our
Data Processing Addendum applies. We own the Service itself, including the platform software, templates, and branding.
7. Acceptable use
You agree not to:
- Use the Service for unlawful, harmful, deceptive, or infringing activity
- Upload or distribute malware, or build sites or campaigns that defraud, phish, or mislead
- Attempt to breach, probe, or circumvent security, isolation, or rate limits, or access other customers' data
- Use preview or deployment infrastructure for cryptocurrency mining, proxying, or other abusive workloads unrelated to running your application
- Resell, sublicense, or white-label the Service without our written agreement
- Use the Service to send spam or unlawful communications, or to collect or process personal information without a lawful basis
- Exceed plan quotas through automation designed to evade limits
We may investigate violations and may suspend or terminate accounts that put the platform, other customers, or the public at risk.
8. Your deployed sites and your end users
You are responsible for the websites and applications you deploy: their content, their legality, their privacy notices, and any consent your visitors' jurisdictions require (including for the analytics, testing, and any retargeting technologies described in our Cookie Policy). You are the controller of your customers' and visitors' data; we process it on your behalf as described in the Privacy Policy and
Data Processing Addendum. You can disable the analytics we provide per project; any testing or retargeting you add yourself is controlled separately by you. We may remove or disable content or sites that violate these Terms or applicable law.
9. Payments you collect from your customers
If you connect a Stripe account to accept payments in your applications, those payments occur on your own Stripe account under your agreement with Stripe. EzCoder is not a party to sales between you and your customers, is not the merchant of record, and is not responsible for your products, refunds, or disputes. A platform fee, as disclosed for your plan, applies to transactions processed through the integration.
10. Marketing and communications tools
The Service includes tools for email campaigns, a mailbox, SMS, advertising, social publishing, and AI-assisted prospecting. You may use them only with recipients and audiences you have a lawful basis to contact, and you are responsible for complying with applicable marketing and privacy laws — including the US CAN-SPAM Act and TCPA, Canada's CASL, and the EU/UK GDPR and ePrivacy/PECR rules — and with each platform's policies.
The AI prospecting features may identify potential contacts from public sources and prepare draft outreach; they do not send first-contact messages on their own, and you decide whether and to whom to send. You are responsible for having a valid lawful basis or consent for any contact you send or import, for honoring opt-outs and suppression across any lists you import or export, and for including required sender identification and unsubscribe mechanisms. Campaign emails include an unsubscribe mechanism and suppression of unsubscribed recipients is enforced; you must not attempt to circumvent either.
11. Autonomous and automated features
Some features can act on your behalf on a schedule or automatically, including the Business Suite's automated assistant. By enabling them, you authorize EzCoder to take the configured actions using your connected accounts and data, subject to the approval controls, spend and send caps, and other limits presented to you. You remain responsible for the actions you authorize and their outcomes, and you can disable these features at any time. Sensitive actions (such as spending money, sending communications, publishing, or going live) remain subject to your approval unless you expressly enable otherwise.
12. Domain registration and purchases
If you purchase a domain through EzCoder, the following apply while our domain registration runs on Cloudflare's Registrar API in its current model:
- Interim registrant / beneficial ownership. EzCoder is listed as the registrant of record for domains you purchase through EzCoder, and you are the beneficial owner. We hold the registration on your behalf and will not sell, transfer, or encumber it except at your direction or as required to operate the Service.
- Transfer out. After the ICANN-mandated 60-day post-registration transfer lock, you may request to transfer any domain you purchased through EzCoder to a registrar account in your own name. On request, we will unlock the domain and provide its authorization (EPP) code within 5 business days, and will not unreasonably withhold a transfer.
- Auto-renew and lapse. Domains auto-renew yearly. You may turn auto-renew off at any time; the domain will then expire on its renewal date and your card will not be charged again. Removing the domain, deleting the project, or downgrading below the required plan stops auto-renew billing and the domain will lapse unless you transfer it out first.
- Refunds. Domain registration fees are charged at cost and are non-refundable once the domain is registered. A separately itemized EzCoder service fee may be refunded at our discretion within 5 days of purchase. A failed registration is refunded in full.
- Registrant accuracy. We maintain accurate registrant contact information as required by ICANN, with privacy redaction applied where available.
13. Data portability and account export
You can export your account data and individual projects from the Service, as described in our Privacy Policy. Where the EU Data Act or similar laws grant you rights to retrieve your data or switch providers, we will comply with those requirements. We provide the export tools described in our Privacy Policy; some derived, operational, or third-party-held data may not be exportable in a directly reusable form.
14. Third-party services and your own API keys
The Service interoperates with third-party services (sign-in providers, AI providers, ad platforms, social networks, payment processing, and others listed on our Service Providers page). Your use of those services is governed by their terms. If you supply your own API keys for third-party services, you are responsible for those keys, the associated usage charges, and compliance with the provider's terms; we store such keys encrypted and use them only to provide the Service to you.
15. Feedback
If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.
16. Copyright complaints
If you believe content on the Service or on a deployed site infringes your copyright, email
[email protected] with: your contact information, a description of the work, the URL of the allegedly infringing material, a statement that you have a good-faith belief the use is unauthorized, a statement under penalty of perjury that your notice is accurate and that you are authorized to act, and your physical or electronic signature. We will review and, where appropriate, remove or disable the material and notify the account holder. We may terminate repeat infringers. A postal address for formal notices is available on request.
17. Beta features
Features identified as beta, preview, or experimental are provided as-is, may change or be discontinued at any time, and may be subject to additional terms or limits.
18. Suspension and termination
You may stop using the Service and delete your account at any time from Settings. We may suspend or terminate your access if you materially breach these Terms, if your use creates risk or legal exposure for us or others, or if required by law; where practical, we will notify you and give you a chance to cure. Upon termination you should export Your Content first: we may delete it after your account closes, as described in the Privacy Policy. Sections that by their nature should survive termination (including 6, 15, 19, 20, 21, and 22) survive.
19. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICE OR AI-GENERATED OUTPUT WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.
20. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL; AND (B) OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR ONE HUNDRED US DOLLARS IF YOU HAVE PAID NOTHING). THESE LIMITS DO NOT APPLY WHERE PROHIBITED BY LAW.
21. Indemnification
You will defend and indemnify EzCoder and its officers, directors, employees, and agents against claims, damages, and reasonable costs (including attorneys' fees) arising from Your Content, your deployed sites and their operation, your marketing campaigns and audiences, your products and sales to your customers, or your violation of these Terms or applicable law.
22. Governing law and disputes
These Terms are governed by the laws of the State of Texas and applicable United States federal law, without regard to conflict-of-laws principles. The state and federal courts located in Texas have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, and each party consents to personal jurisdiction and venue there. Nothing in this section limits rights you may have under the consumer protection laws of your place of residence.
23. Changes to these terms
We may update these Terms from time to time. We will update the date above and, for material changes, give notice through the platform or by email at least 30 days before they take effect. Your continued use of the Service after changes take effect means you accept the updated Terms.
24. Miscellaneous
These Terms, together with the Privacy Policy, Cookie Policy, and Data Processing Addendum, are the entire agreement between you and EzCoder about the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to you may be given through the platform or to your account email.
